Agency Portal Services is an online service that gives you 24/7, on-demand access to a network of certified technical and creative professionals.
Agency Portal Services (We, Us or the Service) agree to be bound by this Terms of Service (TOS) when we provision your workspace (System) within Agency Portal Services via process of your information on our template order form, free trial form or entering into an agreement with you by phone or other means. You (Customer) agree to be bound by this TOS when you submit your information on our template order form, free trial form or enter into an agreement with us by phone or other means.
We reserve the right to change, modify, add or remove all or part of the TOS at any time.

In Simple Terms:
Don’t Do Anything Illegal
We will take every action to maintain a system that promotes legal business. Any action that violates our intent will be held accountable to the highest courts. A few illegal acts that come to mind:
- The System cannot be used to promote sex, child labor or human trafficking.
- The System cannot be used for coercion of any in the workforce.
- The System cannot be used for fraudulent charges of another’s payment account.
- The System cannot be used to attack or defame another entity.
- The System cannot be used to create or maintain malware.
- The System cannot be used to breach security.
- The System cannot be used to perform effort on any asset that you have not been authorized to work on.
- IF THE ACTIONS YOU TAKE CAN BE RULED AS ILLEGAL IN ANY COURT OF THE U.S.A., DON’T DO IT!
Don’t Do Anything Unethical
We are striving to build a community based on trust, great ethics and honest work. Anything that can be considered to contend with this pursuit will be viewed as unethical. Some of the simple ways to remain in ethical standing are:
- Do not submit a work request without the intent to pay for the service.
- Do not reject a time entry based on your thought that the worker could have performed quicker.
- Do not rate the worker based on subjective criteria.
- Do not delay approving a time entry or the completion of the work request.
- Do not use the System for it’s features and work outside the system to pay the worker.
- NOTE: If you want to have communication or a working relationship with a worker outside the system, we will not stop you. We just don’t see it as fair that you use our system’s features and we see no reimbursement for it.
- Do not use the System with the intent to financially withhold from the worker or Us.
- IF THE ACTIONS YOU TAKE ARE CONSIDERED AS UNETHICAL BY US, WE WILL TERMINATE YOUR MEMBERSHIP AND RAISE AWARENESS TO THE COMMUNITY OF YOUR ACTIONS.
We provide you a means to create work requests, have your work requests serviced, communication mechanisms for getting work requests serviced and a means of payment for service. These are all privileges that come with your membership. They are not a right. You agree that these privileges may be limited or terminated at any time should we deem your use of our system is against our reputation.
You may not place excessive burdens on our CPUs, servers or other resources such as storage. You agree that we may place restrictions on your use of our service to the extent that your use exceeds the use by similarly situated customers.
By accepting this TOS you warrant you are 18 years old or older, agree to provide true, accurate, current and complete information about yourself, agree to maintain and update this information to keep it true, accurate, current and complete. If any information you provide is untrue, inaccurate, not current or incomplete, we have the right to terminate your account and refuse any and all current or future use of the Service.
On occasion, we may need to communicate with you by email about your service. You agree to maintain a working email address that is monitored daily. We have no responsibility or liability for interruptions in service based on communications that are not received as a result of your failure to provide us with updated contact information.
Bill & Disputes
All payments for service are made in a reasonable time period after the work request has been ‘User Accepted’ as complete to your satisfaction or upon ‘Cancel’ of work request with an outstanding balance of approved time entries. Once you sign up for the Service we will retain a valid Paypal account where over-due invoices can be charged without notice.
Our obligation to provide service to you is contingent upon your payment of the fees by your due date. It is your responsibility to ensure that we receive payment. We may temporarily suspend your access to the Service for nonpayment 5 days after the due date. We may permanently suspend your access to the Service for nonpayment or violation of service that has been ruled against you.
Refunds will be carried out at our discretion.
You may cancel your account at any time. Cancellation requests will be made to email@example.com and will clearly identify who you are and the reason for cancellation. Once all debts are settled, you will be removed from the System.
Upon termination or cancellation, your account will be closed. We have no responsibility to store any previous communication or files submitted through the System once your account is closed.
You may not claim intellectual or exclusive ownership to any of our products; modified or unmodified. All products are the property of Agency Portal Service. In no event shall Agency Portal Service be liable for any damages including, but not limited to, indirect, direct, incidental, special, or consequential damages or other losses arising out of the use of or inability to use the System.
We hereby grant the Customer a non-exclusive, non-transferable license to use the Service for the sole purpose of accessing and completing work requests.
The Customer is responsible to maintain and secure all user credentials that have been entrusted in their care to carry out the work request. The Customer is responsible to remove credentials from their system, once the work request is complete, so they cannot be compromised by another.
Customer grants Agency Portal Services the right to maintain Customers content and communication through the license that Agency Portal Services has with Citrix Podio during the term of agreement.
THE SERVICE AND SOFTWARE ARE PROVIDED ON AN AS IS BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THIS AGREEMENT OR ANY DOCUMENTATION FURNISHED UNDER IT IS INTENDED TO EXPRESS OR IMPLY ANY WARRANTY THAT THE AGENCY PORTAL SERVICES SERVICE WILL BE UNINTERRUPTED, TIMELY OR ERROR-FREE OR THAT THE SOFTWARE WILL PROVIDE UNINTERRUPTED, TIMELY OR ERROR FREE SERVICE. THE SECURITY MECHANISM INCORPORATED IN THE SOFTWARE HAS INHERENT LIMITATIONS AND CUSTOMERS MUST DETERMINE THAT THE SOFTWARE ADEQUATELY MEETS ITS REQUIREMENTS. CUSTOMER ACKNOWLEDGES AND AGREES THAT ANY MATERIAL AND/OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DONE AT ITS OWN DISCRETION AND RISK AND THAT CUSTOMER WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGES TO ITS COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF SUCH MATERIAL AND/OR DATA. THE SERVICE PROVIDER, AND ITS PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES AND AGENTS, SHALL NOT BE LIABLE, UNDER ANY CIRCUMSTANCES OR LEGAL THEORIES WHATSOEVER, FOR ANY LOSS OF BUSINESS, PROFITS OR GOODWILL, LOSS OF USE OR DATA, INTERRUPTION OF BUSINESS, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER, EVEN IF THE SERVICE PROVIDER IS AWARE OF THE RISK OF SUCH DAMAGES, THAT RESULT IN ANY WAY FROM CUSTOMER USE OR INABILITY TO USE THE AGENCY PORTAL SERVICES SERVICE, OR THAT RESULT FROM ERRORS, DEFECTS, OMISSIONS, DELAYS IN OPERATION OR TRANSMISSION, OR ANY OTHER FAILURE OF PERFORMANCE OF THE AGENCY PORTAL SERVICES SERVICE.
Limitations of Liability
You agree that Agency Portal Services has no liability, whatsoever, for unauthorized access to, or any corruption, erasure, theft, destruction, alteration or inadvertent disclosure of, data, information or content, transmitted, received, or stored on our system.
